OpenEcomics S.r.l. (OpenEconomics) is an independent private-owned company. Among the shareholders there aren’t companies operating in football or any other sport competition, either professional or non-professional. None of the shareholders has any economic interest in football companies.
No content (including ratings, economic-related analyses and data, valuations, model, software or other application or output therefrom) or any part thereof (Content) may be modified, reverse engineered, reproduced or distributed in any form by any means, or stored in a database or retrieval system, for professional use without the prior written permission of OpenEconomics S.r.l. or its affiliates (collectively, OpenEconomics Parties).
The Content shall not be used for any unlawful or unauthorized purposes. OpenEconomics and any third-party providers, as well as their directors, officers, shareholders, employees or agents (collectively OpenEconomics) do not guarantee the accuracy, completeness, timeliness or availability of the Content.
OpenEconomics Parties are not responsible for any errors or omissions (negligent or otherwise), regardless of the cause, for the results obtained from the use of the Content, or for the security or maintenance of any data input by the user.
The Content is provided on an "as is" basis.
OPENECONOMICS PARTIES DISCLAIM ANY AND ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR USE, FREEDOM FROM BUGS, SOFTWARE ERRORS OR DEFECTS, THAT THE CONTENT'S FUNCTIONING WILL BE UNINTERRUPTED OR THAT THE CONTENT WILL OPERATE WITH ANY SOFTWARE OR HARDWARE CONFIGURATION.
In no event shall OPENECONOMICS Parties be liable to any party for any direct, indirect, incidental, exemplary, compensatory, punitive, special or consequential damages, costs, expenses, legal fees, or losses (including, without limitation, lost income or lost profits and opportunity costs or losses caused by negligence) in connection with any use of the Content even if advised of the possibility of such damages.
Economic-related and other analyses, including ratings, and statements in the Content are generated by a software proprietary objective model based on mathematic formulas and standard procedures as of the date they are expressed. Opinions and comments based on those analysis contained on www.playratings.net or on partner websites, including OpenEconomics' opinions, analyses and rating acknowledgment decisions are not recommendations to purchase, hold, or sell any securities or to make any investment decisions, and do not address the suitability of any security.
OpenEconomics assumes no obligation to update the Content following publication in any form or format. The Content should not be relied on and is not a substitute for the skill, judgment and experience of the user, its management, employees, advisors and/or clients when making investment and other business decisions.
OpenEconomics does not act as a fiduciary or an investment advisor.
While OpenEconomics has obtained information from sources it believes to be reliable, OpenEconomics does not perform an audit and undertakes no duty of due diligence or independent verification of any information it receives.

AS A RESULT, CERTAIN BUSINESS UNITS OF OPENECONOMICS MAY HAVE INFORMATION THAT IS NOT AVAILABLE TO OTHER OPENECONOMICS BUSINESS UNITS. OPENECONOMICS HAS ESTABLISHED POLICIES AND PROCEDURES TO MAINTAIN THE CONFIDENTIALITY OF CERTAIN NON-PUBLIC INFORMATION RECEIVED IN CONNECTION WITH EACH ANALYTICAL PROCESS.
OpenEconomics doesn’t receive donations or sponsorships from football clubs, players, agents or any other subject involved in any competition. The company is not involved in betting activities.
In some case, OpenEconomics may receive compensation for its ratings and certain analyses. It always happens in explicit way. OPENECONOMICS reserves the right to disseminate its opinions and analyses. OPENECONOMICS public ratings and analyses are made available on its Web sites, www.playratings.net (free of charge or on a subscription base), and may be distributed through other means, including via OPENECONOMICS publications and third-party redistributors. Additional information about our ratings fees is available at www.playratings.net.
OpenEconomics has been certified as compliant to the requirements UNIEN ISO 9001:2008 for activities and processes of research, development and application of economic, mathematic and environmental models for the economic evaluation of investment politics, programs and projects.

It is hereby being specified that the OpenEconomics makes no representation, pledge or warranty (either explicit or implicit) that the content of the Website and of the App is accurate and/or suitable for any particular purpose other than those warranties which cannot be expressly excluded under the governing law of these ToU.
Use of the Website and App is entirely at the Visitors risk. The Website are not a gaming or gambling tools. The Provider of the Website and App does not provide gaming or gambling services, therefore it does not hold or control player funds and it is not involved in any gaming transactions. Betting odds which are displayed on the Website or on the App are part of information and functions of the Website and of the App.
OpenEconomics does not guarantee that any of the functions provided by the Website and by the App are authorized, and that the operation will fully satisfy the Visitor, that it is entirely secure and exempt from error, that it is updated regularly, that any software defect is regularly corrected, that it is uninterrupted, that the Website and the App are virus or bug free, or that they are continually operational, that they are adequate, that the information and functions available thereon is reliable, or that all other information obtained and functions used on the Website are adequate and reliable. Those who choose to access the Website or the App do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.
The Website and the App may contain links and references to third party websites/adverts/content. These are provided for the convenience and interest of the Visitor and does not imply responsibility for, nor approval of, information contained in these websites adverts/content by the Provider. The Provider gives no warranty, either expressed or implied, as to the accuracy, availability of content or information, text or graphics which are not under its domain. OpenEconomics has not tested any software located on other websites and does not make any representation as to the quality, safety, reliability or suitability of such software.
LOSS OR DAMAGE
OpenEconomics is not responsible for any loss or damage, direct or indirect, that the Visitor or a third party might have suffered as a result of using the Website or the App, including but not limited to damages caused by a commercial loss, a loss of benefits, a loss on anticipated earnings, winnings or other profit, interruption of business, loss of commercial information, or any other pecuniary and or consecutive loss. OpenEconomics is not responsible for winnings made or losses suffered on third party websites or apps which result from the use of information displayed on the Website or on the App. Without limitation to the generality of the preceding two clauses, no responsibility is being acknowledged or accepted hereunder for, inter alia, the following matters:
- mistake(s), misprint(s), misinterpretation(s), mishearing(s), misreading(s), mistranslation(s), spelling mistake(s), fault(s) in reading, transaction error(s), technical hazard(s), registration error(s), manifest error(s), Force(s) Majeure and/or any other similar mistake(s)/error(s);
- violation of the Provider's rules;
- criminal actions;
- advice, in whichever form, provided by the Provider;
- legal actions and/or other remedies;
- loss or damage that Visitors or third parties might have suffered as a result of their use of the Website and App, its content or that of any link suggested by the Provider;
- loss or damage that Visitors or third parties might have suffered as a result of any modification, suspension or interruption of the Website or of the App;
- criminal use of the Website or of the App or of its content by any person, of a defect, or omission or of any other factor beyond our control;
- any use made of the Website or of the App due to a third party accessing the private areas requiring login and password by using a Visitor's Username and Password;
- in case of discrepancies in the services, functions and any other feature offered by the Website or by the App due to viruses or bugs as it relates to all parameters that make up the Website, any damage, costs, expenses, losses, or claims brought about by said discrepancies;
- any act or omission by an internet provider or of any other third party with whom Visitors may have contracted in order to have access to the Website or to the App. In case of litigation between the internet provider and Visitors, the Provider cannot be a party to the suit, and such suit shall in no way affect these ToU;
- any claim arising as a result of damages incurred by a Visitor due to the content of any material posted by another Visitor or other third party not authorized by the Provider on the Website or on the App.
Collectively the Provider and the Visitors shall be referred to as the 'Parties'.
The use of any or all of the features and services offered by the Provider on PlayRatings' website (hereafter referred to as the 'Website') and PlayRatings application for Smart Devices (hereafter referred to as the 'App') and the information, materials and links contained therein, is subject to the ToU as set out below. Unless otherwise agreed by the Provider in writing, the ToU constitute the entire relationship between the Provider and the Visitor in its use of the Website including any or all of its functions on offer by the Website.
The Visitor has the duty to read carefully and understand the ToU before using the Website and the App. A Visitor who has viewed the Website or the App is considered to have read, understood and agreed to be bound by the ToU, without the need for any further act.
The Provider hereby reserves the right to suspend, add, end, amend and/or supplement these ToU from time to time as it may deem appropriate.
The Provider recommends that the Visitor reads carefully the contents of these pages regularly. By using the Website or the App the Visitor agrees to be bound by the ToU, as well as by the latest modifications to them, regardless of whether in fact the Visitor is aware of such modifications.
The Provider is under no obligation to verify that all Visitors use the Website according to the last updated ToU. The effective version of ToU is that which is posted on the Website and through the App.
The Website and the App may only be used for lawful purposes. Use of the Website or of the App for transmission, distribution, publication or storage of any material on or via the Website which is in violation of any applicable law or regulation or any third party's rights is strictly prohibited. This includes (without limitation) the use of the Website and of the App or the transmission, distribution, publication or storage of any material on or via the Website in a matter or for a purpose which infringes copyright, trademark, trade secret or other intellectual property rights, is obscene or harmful to minors or constitutes an illegal act or harassment, is libellous or defamatory, violates any privacy or data protection laws, is fraudulent or breaches any exchange control or gambling law.
In the event of misuse and/or the abuse of the Website or of the App, the Provider reserves the right to close or block the Visitor from the Website and close any account registered in the Visitor's name. The Provider retains the right to bring a lawsuit against the Visitor and at its sole discretion.
The Website and the App serve as tools for comparing players'/clubs' performances and economic evaluations and provide an interactive web/app application/features containing sports information in sporting events, sports statistics, economic evaluations, reviews; for creating players' pages and for buy or sell player's reviews.
Biographies and any statistics or economic information contained on the Website and on the App reflect information provided by other independent sources (from third parties) or by in-house effort or by various other official websites. While every effort is made by the Provider to update the content and match results and odds or other information displayed on the Website regularly, we advise to double check information gathered on Website also from other sources. The Provider is not responsible for the Visitor's use of the results and other information contained on the Website and on the App.
THIRD PARTY WEBSITES
The Visitor acknowledges that any contact whatsoever made with third parties after viewing the Website and the App, whether intended or unintended, and any outcome which ensues, is absolutely independent of the Provider and the Provider is not in any way responsible for any agreement or expectation and other consequence which ensues as a direct or indirect cause of this contact.
Any claim or dispute which may arise between the Visitor and such a third party shall in no way involve the Provider. Third parties, including any third parties advertising on the Website or on the App do not have access to the Visitors' Personal Data and any other data that the Visitor may have given to the Provider.
The Provider is not responsible for the content of external websites which may be viewed from the Website or on the App. All video content found on the Website is not hosted on the Provider's servers nor is it created or uploaded to the host server by the Provider.
If a Visitor has set up an account on the Website or through the App but fails to access it for 60 days, the Provider reserves the right to close the account with immediate effect and without prior notice.
The Website and the App are distributed under a Creative Commons Attribution-NonCommercial-NoDerivatives 4.0 International license (CC BY-NC-ND 4.0). Attribution: You must give appropriate credit, provide a link to the license, and indicate if changes were made. You may do so in any reasonable manner, but not in any way that suggests the licensor endorses you or your use.
NonCommercial: You may not use the material for commercial purposes.
NoDerivatives: If you remix, transform, or build upon the material, you may not distribute the modified material.
No additional restrictions: You may not apply legal terms or technological measures that legally restrict others from doing anything the license permits.
Exception and limitation: You do not have to comply with the license for elements of the material in the public domain or where your use is permitted by an applicable exception or limitation.
Warranties: No warranties are given. The license may not give you all of the permissions necessary for your intended use. For example, other rights such as publicity, privacy, or moral rights may limit how you use the material.
Breaches: Any breach of the aforementioned clause may be tantamount to a violation of applicable intellectual property rights within the European Union and other applicable laws. The Provider and any other party authorized on its behalf reserves the right to seek damages to the fullest extent permitted by law against any party committing directly or indirectly this breach.
TYPE OF RELATIONSHIP
These ToU are not intended to create any partnership, agency or joint venture between the Provider and the Visitor.
BREACH OF AGREEMENT
If the Visitor fails to adhere to any clause in the ToU or if the Provider reasonably suspect that a Visitor whether directly or indirectly fails to comply with any clause in the ToU, the Provider reserves the right, and all remedies at its disposition, and at its sole discretion, to close or block the Visitor from the Website and close any account registered in the Visitor's name and related to it and retains the right to bring a lawsuit against the Visitor and at its sole discretion.
Visitors are advised to comply with applicable legislation in the jurisdiction in which they are domiciled and/or resident and/or present. The Provider does not accept responsibility for any action taken by any authority against any Visitor in connection with their use of the Website and of the App.
LAW & FORUM AND/OR COMMUNITY
This Agreement shall be governed by and construed in accordance with the laws of the country of Italy without giving effect to conflicts of law principles. The Parties submit to the exclusive jurisdiction of the court of the country of Rome for the settlement of any disputes arising out of concerning this Agreement. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.
Headings are intended for clarity and to facilitate reading of these ToU. They are not intended as a means of interpretation for thecontent of the paragraph that follows each heading. Headings are not intended to bind the Provider in any manner whatsoever.
Any waiver by the Provider of any breach by any Visitor of any provision of these ToU shall not be considered as a waiver of any subsequent breach of the same or any other provision of these ToU.

WHAT PERSONAL INFORMATION ABOUT CUSTOMERS DOES OPENECONOMICS GATHER?

E-mail Communications: To help us make e-mails more useful and interesting, we often receive a confirmation when you open e-mail from PlayRatings if your computer supports such capabilities. We also compare our customer list to lists received from other companies, in an effort to avoid sending unnecessary messages to our customers. If you do not want to receive e-mail or other mail from us, please adjust your Customer Communication Preferences.
Information from Other Sources: We might receive information about you from other sources and add it to our account information.
WHAT ABOUT COOKIES?
Cookies are unique identifiers that we transfer to your device to enable our systems to recognize your device and to provide features, personalized advertisements on other Web sites, and storage of items in your Shopping Cart between visits.
DOES OPENECONOMICS SHARE THE INFORMATION IT RECEIVES?
Information about our customers is an important part of our business, and we are not in the business of selling it to others. We share customer information only as described below and with subsidiaries. OpenEconomics S.r.l. controls that either are subject to this Privacy Notice or follow practices at least as protective as those described in this Privacy Notice.

HOW SECURE IS INFORMATION ABOUT ME?
We work to protect the security of your information during transmission by using Secure Sockets Layer (SSL) software, which encrypts information you input.
We reveal only the last four digits of your credit card numbers when confirming an order. Of course, we transmit the entire credit card number to the appropriate credit card company during order processing.
It is important for you to protect against unauthorized access to your password and to your computer. Be sure to sign off when finished using a shared computer.
WHAT ABOUT THIRD-PARTY ADVERTISERS AND LINKS TO OTHER WEBSITES?
Our site includes third-party advertising and links to other Web sites.

OpenEconomics gives you access to a broad range of information about your account and your interactions with PlayRatings for the limited purpose of viewing and, in certain cases, updating that information.

As discussed above, you can always choose not to provide information, even though it might be needed to make a purchase or to take advantage of such PlayRatings features.
You can add or update certain information on pages such as those referenced in the previous section. When you update information, we usually keep a copy of the prior version for our records.

ARE CHILDREN ALLOWED TO USE OPENECONOMICS?
OpenEconomics does not sell products for purchase by children. We sell children's products for purchase by adults. If you are under 18, you may use PlayRatings only with the involvement of a parent or guardian.

OpenEconomics S.r.l. is compliant with the EU-US Privacy Shield framework.
CONDITIONS OF USE, NOTICES, AND REVISIONS
If you choose to visit PlayRatings, your visit and any dispute over privacy is subject to this Notice and our Conditions of Use, including limitations on damages, resolution of disputes, and application of the law of the state of Italy. If you have any concern about privacy at PlayRatings and OpenEconomics, please contact us with a thorough description, and we will try to resolve it. As a result of those actions, you might supply us with such information as your name, address, and phone numbers; credit card information, including addresses and phone number; people (with addresses and phone numbers); e-mail addresses of your friends and other people; content of reviews and e-mails to us; personal description and photograph in Your Profile ; and financial information.
Most mobile devices provide users with the ability to disable location services. Most likely, these controls are located in the device's settings menu. If you have questions about how to disable your device's location services, we recommend you contact your mobile service carrier or your device manufacturer.
INFORMATION FROM OTHER SOURCES
